1. Acceptance of These Terms

These Terms and Conditions ("Terms") are a binding agreement between you and MVM Imports Inc. ("MVM Imports," "we," "us," or "our") and govern your access to and use of our website at https://www.mvmimports.com (the "Site") and our sourcing, procurement, and customer-care services (together, the "Services"). By accessing the Site, submitting a request for quote (RFQ), placing an order, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or Services.

2. Eligibility and Business Use

The Services are intended for businesses and for individuals who are at least 18 years old and able to form a binding contract. By using the Services, you represent that you meet these requirements and that you are using the Services for legitimate business purposes on behalf of yourself or an organization you are authorized to represent. The Site is not a consumer retail store.

3. Our Services

MVM Imports is a business-to-business sourcing and procurement company. We help institutional and commercial buyers source bulk products and hard-to-find items across categories such as technology and connectivity; power, charging, and adapters; electronics and components; education and institutional supplies; and facility, hardware, and general bulk supply. Our role typically includes receiving RFQs, reviewing product specifications and quantities, requesting pricing and lead times from suppliers, preparing quotes, and coordinating orders and fulfillment. We do not guarantee that we can source any particular item, and we may decline any request at our discretion.

4. RFQ Submissions and Your Responsibilities

When you submit an RFQ or other request, you agree to provide accurate, complete, and current information, including product specifications, quantities, and any requirements relevant to your request. You are responsible for the accuracy of the information you provide and for ensuring that your intended purchase and use comply with applicable laws and regulations. Submitting an RFQ is a request for information and does not create a binding order or obligate either party until a quote is accepted and an order is confirmed in writing.

5. Quotes, Specifications, Availability, and Pricing

Quotes we provide are based on the information you supply and on supplier pricing, availability, and lead times at the time of the quote. Unless a quote states otherwise, quotes are non-binding estimates, are subject to change, and may expire or be revised if not accepted within the period stated or before supplier terms change. Product specifications, availability, lead times, and pricing are subject to change without notice and may be affected by supplier and market conditions. We reserve the right to correct errors in quotes, descriptions, or pricing, and to refuse or cancel any order arising from such errors.

6. Orders, Payment, Shipping, and Delivery

Order details — including products, specifications, quantities, price, payment terms, shipping method, and delivery estimates — are established on a per-order basis and confirmed in writing between you and MVM Imports. Except as expressly agreed in a specific order or written agreement, these Terms do not set fixed commercial terms.

Unless otherwise agreed in writing: prices exclude shipping, freight, insurance, customs duties, tariffs, taxes, and other charges; you are responsible for applicable taxes, duties, and import requirements; and any delivery dates or transit times are good-faith estimates only. MVM Imports is not responsible for delays or failures caused by suppliers, carriers, customs authorities, or other events beyond our reasonable control, including events of force majeure. Risk of loss, title transfer, and responsibility for freight, customs clearance, duties, and taxes will be as set out in the applicable order or agreement.

7. Samples and Custom-Manufactured Products

Where applicable, product samples are provided for evaluation only and may differ from production units in minor respects. Custom, made-to-order, or custom-manufactured products are produced to specifications you approve; because such items are made specifically for you, they may be non-cancellable and non-returnable once production begins, except as stated in the applicable order. You are responsible for reviewing and approving specifications, and MVM Imports is not liable for issues arising from specifications you provide or approve.

8. Website Content and Accuracy

We work to keep information on the Site accurate and current, but the Site is provided for general informational purposes and may contain errors, omissions, or outdated information. Content on the Site does not constitute an offer, a guarantee of availability, or professional advice, and may be changed or updated at any time without notice.

9. User-Submitted Content and Communications

You are responsible for the content and information you submit to us, including RFQ details, specifications, messages, and communications. You represent that you have the right to share what you submit and that it does not violate any law or third-party right. You grant MVM Imports permission to use the information you submit as necessary to respond to your request and provide the Services. Do not submit confidential information you do not wish us to use for those purposes, and do not submit unlawful, infringing, or harmful content.

10. Intellectual Property

The Site and its content — including text, layout, graphics, logos, and the MVM Imports name and branding — are owned by MVM Imports or its licensors and are protected by intellectual-property laws. You may use the Site only for its intended purpose. You may not copy, reproduce, modify, distribute, or create derivative works from the Site or its content without our prior written permission, except as permitted by applicable law. Third-party names, marks, and product references are the property of their respective owners.

11. Prohibited Uses

You agree not to:

• use the Services for any unlawful, fraudulent, or unauthorized purpose;
• submit false, misleading, or infringing information;
• interfere with or disrupt the Site, its security, or its infrastructure, or attempt to gain unauthorized access to any system or data;
• use automated means to scrape, harvest, or collect data from the Site without permission;
• transmit malware, spam, or harmful code; or
• use the Services to infringe the rights of others or to violate applicable laws, including export, sanctions, and anti-corruption laws.

12. Third-Party Suppliers, Manufacturers, and Links

MVM Imports works with independent third-party suppliers, manufacturers, carriers, and service providers. We are not responsible for the acts, omissions, products, or services of these third parties, and any products they manufacture or supply may be subject to their own warranties and terms. The Site and our communications may contain links to third-party websites; those sites are governed by their own terms and policies, and we are not responsible for their content or practices.

13. SMS Customer Care Program Terms

These additional terms apply to our text-messaging program. By opting in, you agree to these terms.

• What we send: The program provides two-way customer-care messages related to your sourcing requests, quotes, orders, shipping updates, and related support.
• Not marketing: This program is not used for unsolicited marketing or promotional messages.
• Message frequency: Message frequency varies according to your requests and conversations with us.
• Cost: Message and data rates may apply, depending on your mobile plan and carrier.
• Voluntary consent: Consent to receive text messages is voluntary and is not a condition of purchasing any goods or services.
• Opt out: Reply STOP at any time to unsubscribe.
• Help: Reply HELP for help, or contact us at mvmimportsinc@gmail.com.
• After you opt out: After you reply STOP, we may send one final confirmation message, and no additional messages will be sent unless you opt in again.
• Carrier disclaimers: Carriers are not liable for delayed or undelivered messages. Wireless carriers do not guarantee that messages will be delivered.

14. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, MVM Imports disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any product sourced through us will meet your expectations except as expressly stated in a written order or agreement. Any manufacturer or supplier warranties, where they exist, are provided by those third parties.

15. Limitation of Liability

To the fullest extent permitted by law, MVM Imports and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the Site or Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site or Services will not exceed the amount you paid to MVM Imports for the specific order or transaction giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless MVM Imports and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your submissions, your breach of these Terms, or your violation of any law or third-party right.

17. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect the Services or other users. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

18. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise.

19. General Provisions

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Entire agreement. These Terms, together with the Privacy Policy and any written order or agreement between us, constitute the entire agreement between you and MVM Imports regarding the Services and supersede prior understandings on that subject.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" shown above and post the updated Terms on this page. Your continued use of the Site or Services after an update takes effect means you accept the revised Terms.
